About these Terms
These Terms govern access to and use of the Nutsy Notes website, free web application and paid desktop PWA, and the license supplied for the paid product.
Nutsy Notes is an independent software project operated by Ofir Shavit in Israel. Questions about these Terms can be sent to support@nutsynotes.com.

About Nutsy Notes
Nutsy Notes provides a personal, local workspace for writing, organizing and managing ideas and projects.
The web application is available without registration or an account and is provided free of charge. The paid desktop edition is an installable PWA licensed through a separate purchase.

Your content belongs to you
You retain ownership of the notes, projects, files and other content you create or edit using Nutsy Notes. Nutsy Notes does not claim ownership of your content.
Nutsy Notes does not store your workspace content on its servers. If a future optional feature changes this behavior, it will be introduced with clear information and corresponding updates to these Terms and the Privacy Policy.
Your work remains yours. Nutsy Notes receives no license to use your local workspace content.

Free web application
You may use the Nutsy Notes web application for personal or professional purposes, subject to these Terms.
The web application may change, be updated or occasionally become unavailable as the product is developed and maintained. We do not guarantee that any particular browser, operating system or browser capability will remain supported indefinitely.

Paid desktop license
A purchase grants one individual a personal, non-transferable, non-exclusive license to use Nutsy Notes Desktop on up to two active installations owned or controlled by that person. The license may be used for that person's personal or professional work. It may not be shared with another person; each additional user requires a separate license.
The license is perpetual for the version purchased and includes compatible updates in the 1.x version family. A future major version may be offered separately, but this does not expire or time-limit the version already licensed.
Initial activation requires an internet connection and a valid Lemon Squeezy license key. After successful activation, ordinary use and local license verification work offline without recurring validation. Clearing browser application storage or moving to another browser profile may remove the local receipt and require reactivation. If both activation slots are occupied by obsolete installations, contact support@nutsynotes.com for a manual reset.

Purchase, payment and delivery
Ofir Shavit supplies and licenses Nutsy Notes. Lemon Squeezy acts as Merchant of Record and authorized reseller for the transaction, processes payment and applicable taxes, and supplies the electronic receipt and license key. Your transaction is also governed by the Lemon Squeezy Buyer Terms.
The price and applicable taxes are shown at checkout. Access is delivered electronically through the order confirmation, receipt or Lemon Squeezy My Orders. You are responsible for providing an accurate email address and retaining your order and license information.

Refunds and consumer rights
Because the paid product and license key are delivered for immediate digital access, we do not generally offer discretionary refunds for a change of mind after delivery or activation. This does not limit any refund, withdrawal, warranty or other remedy required by applicable law, including where the product is defective or was not supplied as described.
If you experience a product or activation problem, contact support@nutsynotes.com so we can try to resolve it. Transaction refunds are processed through Lemon Squeezy as Merchant of Record and remain subject to its Buyer Terms and applicable law.

Permitted use
You may use Nutsy Notes to create, edit, organize, export and manage your own work. A paid personal license may be used by its individual license holder for that person's personal or professional work.
You may not:
- redistribute, resell or sublicense the Nutsy Notes application or copies of it;
- remove or misrepresent copyright, trademark or ownership notices;
- use Nutsy Notes or its website for unlawful purposes;
- deliberately interfere with the operation or security of the website or application;
- circumvent technical restrictions intended to protect the application or its distribution.
Any restriction on reverse engineering, decompilation or similar activity applies only to the extent permitted by applicable law and does not restrict rights that cannot lawfully be excluded.

Intellectual property
Nutsy Notes, including its software, interface, visual design, documentation, branding and original website content, is protected by applicable intellectual property laws.
Except for the limited rights to use the free web application and paid desktop edition under these Terms, all rights in Nutsy Notes remain with its owner. Your own documents, text and other content remain yours.

Third-party components and services
Nutsy Notes may include third-party or open-source components. Those components may be subject to their own license notices, which apply to them independently.
The website or application may link to third-party websites or use limited third-party services. Your use of those services may also be subject to their respective terms and privacy policies.

Availability and changes
Nutsy Notes is actively developed. Features may be added, modified or removed as the product evolves. We may also change the website or discontinue the free web application where reasonably necessary. A paid perpetual license continues to permit use of the licensed version, subject to these Terms and technical dependencies outside our control.
Where a change affects legal rights that cannot be changed or excluded under applicable law, those rights remain unaffected.

Desktop updates
The paid desktop PWA may check anonymously for a newer stable release while it is open and online. Automatic checks can be disabled and updates are not downloaded until you approve them. An available update is described before installation.
The pilot does not provide a user-facing command to roll back after a successful update. Updating does not intentionally delete Workspace files, local drafts, license state or interface preferences, but you should maintain independent backups of important Workspace files.

No warranty
Nutsy Notes is provided on an “as is” and “as available” basis. We work to provide reliable software, but do not guarantee that it will always be uninterrupted, error-free or suitable for every particular purpose.
Nothing in these Terms excludes warranties, guarantees or other rights that cannot legally be excluded under applicable consumer law.

Responsibility for local files and backups
Because Nutsy Notes works with local files and local browser storage, you remain responsible for maintaining your computer, storage devices and appropriate backups.
Nutsy Notes should not be treated as the sole backup location for important information. We strongly recommend maintaining independent backups of important files.

Limitation of liability
To the maximum extent permitted by applicable law, Nutsy Notes will not be liable for indirect, incidental or consequential losses arising from use of the website, free web application or paid desktop PWA.
Nothing in these Terms excludes or limits liability where doing so would be unlawful, or affects mandatory consumer rights and remedies.

Privacy
Our handling of personal information is described in the Nutsy Notes Privacy Policy.
Your Nutsy Notes workspace content and local files are not uploaded to our servers as part of normal use of the application.

Stopping use and restriction
You may stop using Nutsy Notes at any time.
We may restrict online services or terminate a paid license where reasonably necessary to address a material violation of these Terms, unlawful use, deliberate abuse, fraud or a security risk. Termination does not transfer or delete your local Workspace files and does not affect rights that applicable law requires us to preserve.

Governing law
These Nutsy Notes product and license Terms are governed by the laws of Israel, without excluding mandatory consumer protections or other rights that apply in your country of residence. The separate purchase transaction with Lemon Squeezy is governed by the Lemon Squeezy Buyer Terms.

Changes to these Terms
We may update these Terms as Nutsy Notes develops or when legal or operational requirements change. The current version and revision date will remain available on this page.
Any future material changes affecting paid licenses will not retroactively remove rights already granted without a lawful basis.
